Nasan Energies (Pty) Ltd participated in the stakeholders’ conference hosted by the Namibia Competition Commission, where members of the public were invited to engage with the proposed acquisition of the 52 Divestiture Business, operated by Vivo Energy and Engen Namibia, by Nasan Energies.


In September 2025, Nasan Energies and Vivo Energy Namibia underwent an evaluation process
that assessed technical expertise and financial proposals, resulting in Nasan Energies being
selected as the preferred bidder.


Attended by over 100 members of the public, Vitalis Ndalikokule Competition Commission CEO & Company Secretary introduced the purpose of the engagement and shared the following sentiments. “This gathering intends to restore and maintain competitive advantage in the market. It therefore calls on us to assess whether the intended outcome and safeguarding of competition in the market will in fact be achieved. In doing so we must remain mindful that they are strategic instruments within the marketplace and their legitimacy lies not in commercial rational but in their alignment with broader objectives mainly the protection of consumer welfare,” he said.


During the conference, Ministry of Industries, Mines and Energy Chief Economist and Petroleum Pricing Specialist Abednego Ekandjo, shared insights on key downstream petroleum legal provisions made by the ministry. Pre-liminary findings delivered by Johannes Ashipala Director Mergers and Acquisitions highlighted the following. “Competitors have been invited alongside its dealers, mergers and members of public interested in the transaction. The response rate was good. It was found on the basis of information shared by interested parties,” he added. He noted that despite the pre-liminary findings, the interested parties still have 30 days to share data to make its final decision.


Jean-Blaise Ollomo, Managing Director of Nasan Energies, began the presentation with a status update on the developments made since the public announcement and signing of the initial sales agreement. “Since its last engagement with Dealers in 2025, Nasan has achieved several significant milestones in advancing its retail and operational strategy. The company has finalized its new retail visual identity and commenced production of Nasan-branded materials across its network. In parallel, Nasan successfully implemented and completed the Go-Live of its new enterprise resource planning platform, SAP S/4HANA Cloud, strengthening its operational efficiency, financial controls, and reporting capabilities,” he said. Furthermore, he commented on the contract negotiations. “In addition, Nasan has successfully concluded
contract negotiations with its main fuel supplier, securing a key partnership to support the stability and growth of its retail operations. These developments mark important progress in Nasan’s transformation journey and reinforce its commitment to building a strong, modern, and competitive retail network,” he concluded.


Legal Advocate, Vanessa Kauta affirmed the company’s compliance with legal obligations emphasising accountability towards its dealers countrywide. A few reservations were raised including employment risk, security of supply and bargaining power but thoroughly addressed by Nasan Energies, fostering transparency and openness by adding that the current structures implemented have catered for these concerns raised.


Sean Tobias, co-founder of Nasan Energies, commended the Namibia Competition Commission for conducting a rigorous evaluation process, calling it a step forward for transparency, fair competition and opportunities for local businesses. “This is a significant milestone, the conditions set by the Commission allowed for and prioritised local ownership in an industry traditionally dominated by foreign entities,” he remarked.
